Bots For That Master Licence Agreement (MLA)

This Master Licence Agreement (the “Agreement”) governs the provision and use of Bots For That AI-Native Operating System for accounting firms, including the beanieverse, beanies, and houbeanie AI Gateway services.

1. Parties

  • Supplier: Bots For That Ltd ("BFT")
  • Customer: The legal entity entering into this Agreement, including its authorised users.

2. Definitions & Interpretation

  • beanieverse: BFT’s AI-Native Operating System.
  • beanies: API- and AI-enabled automation products provided via the beanieverse.
  • houbeanie: BFT’s AI Gateway and agent services.
  • Authorised Connection: an active, integrated link between the beanieverse platform and a third party system (for example, an accounting system, payroll system, tax system, or similar platform).
  • Services: The beanieverse platform, beanies, houbeanie, and related functionality.

3. Term & Renewal

3.1 This Agreement commences on the Effective Date and continues for an initial term of twelve (12) months.

3.2 The Agreement shall automatically renew for successive twelve (12) month periods unless terminated in accordance with this Agreement.

4. Scope of Agreement

4.1 This Agreement governs the Customer’s access to and use of the Services for its own internal operations and for services delivered to its own clients.

4.2 The Services are provided as a standardised, product-led offering for accounting firms and do not include bespoke automation or AI services unless expressly agreed.

5. Licence Grant

5.1 BFT grants the Customer a non-exclusive, non-transferable, irrevocable licence to access and use the Services during the term of this Agreement.

5.2 Licences are granted per Authorised Connection, not per user or per entity.

5.3 The Customer may deploy the Services across its own offices and teams for internal use only.

5.4 The licence includes updates, enhancements, and new features released during the term, unless otherwise stated.

6. Usage Model, Fair Use & Acceptable Use

6.1 Usage of the Services is not subject to runtime, transaction, or per-action limits, but is subject to fair, reasonable, and acceptable use.

6.2 Fair and reasonable use means usage that is consistent with:

  • The Customer’s size and service profile
  • Typical accounting, compliance, and advisory workflows
  • Reasonable operational expectations for similar firms

6.3 Acceptable use of the Services is governed by BFT’s Acceptable Use Policy (AUP), published via BFT’s Trust Centre and updated from time to time.

6.4 The Customer must not use the Services in a way that circumvents safeguards, abuses platform resources, or breaches applicable laws or third-party terms.

6.5 Where usage materially exceeds what would reasonably be expected for a firm of similar size and profile, BFT may initiate a good-faith review with the Customer.

7. AI Gateway & houbeanie AI Services

7.1 houbeanie provides assistive, human-in-the-loop AI capabilities designed to support accounting and advisory workflows.

7.2 houbeanie does not replace professional judgement and does not provide legal, tax, or regulatory advice.

7.3 houbeanie may be included within certain licence packages or offered as a paid add-on, as set out in the Pricing Schedule.

8. Pricing & Payment

8.1 Fees are charged per Authorised Connection per month, in accordance with the Pricing Schedule agreed between the parties.

8.2 Fees are payable monthly or annually in advance.

8.3 All fees are exclusive of VAT unless stated otherwise.

8.4 BFT may update pricing on renewal with at least sixty (60) days’ prior notice.

9. Third-Party Platforms, APIs & Dependencies

9.1 The Services integrate with or rely upon third-party platforms and APIs, including accounting, tax, payroll, banking, and AI providers.

9.2 Use of such integrations is subject to the applicable third-party terms and policies.

9.3 The Customer must not use the Services in a manner that breaches third-party terms or enables unauthorised access.

9.4 BFT is not responsible for changes to third-party availability, pricing, or functionality.

10. Excluded Services – Bespoke and Unsupported Automation

10.1 This Agreement does not include bespoke, custom or robotic process automation (RPA), UI-based automation, AI browser automation, screen scraping, or similar techniques.

10.2 Automation is delivered via supported APIs and AI services only.

10.3 Any RPA or UI-based automation may only be provided under a separate written Statement of Work and subject to third-party compliance.

11. Customer Responsibilities

11.1 The Customer shall:

  • Ensure that all Authorised Connections comply with this Agreement
  • Maintain appropriate access controls and credentials
  • Use the Services in accordance with applicable laws

11.2 The Customer is responsible for the accuracy and completeness of all data provided.

12. Data Protection, Privacy & Security

12.1 Each party shall comply with applicable data protection and privacy laws.

12.2 For beanie automation services, BFT acts as a technology provider and does not persist Customer data beyond temporary execution memory.

12.3 For houbeanie and AI services, BFT’s data handling practices are described in the Trust Centre and applicable privacy documentation.

12.4 BFT maintains appropriate technical and organisational security measures, as published in the Trust Centre.

13. Intellectual Property

13.1 All intellectual property rights in the Services remain the property of BFT.

13.2 The Customer retains ownership of its data and client information.

14. Warranties & Liability

14.1 BFT will provide the Services with reasonable care and skill.

14.2 Except as expressly stated, the Services are provided on an "as is" basis.

14.3 BFT’s total liability is limited to the fees paid by the Customer in the twelve (12) months preceding the claim, except where liability cannot be limited by law.

15. Termination

15.1 Either party may terminate this Agreement for material breach with thirty (30) days’ notice if the breach is not remedied.

15.2 On termination, the Customer’s access to the Services will cease.

16. General

16.1 This Agreement constitutes the entire agreement between the parties in relation to the Services and supersedes any prior terms or conditions.

16.2 BFT may update referenced policies (including the Acceptable Use Policy and Trust Centre materials) from time to time, provided such updates do not materially reduce the Customer’s rights.

16.3 Amendments to this Agreement must be in writing.

16.4 Governing law: England & Wales.

Schedule A – beanieverse Connection Based Pricing

This Schedule forms part of the Master Licence Agreement (MLA) (the “Agreement”) and sets out the pricing model, tiers, and commercial conditions applicable to beanieverse connection based licences.

1. Pricing Model Overview

1.1 beanieverse licences are priced on a per-connection basis, where a “Connection” means an active, integrated link between the beanieverse platform and a third party system (for example, an accounting system, payroll system, tax system, or similar platform).

1.2 Connections are licensed in tiers, with each tier defined by a minimum and maximum number of Connections and a corresponding per connection price.

1.3 Each tier is subject to a minimum monthly fee per firm, regardless of actual usage within the tier.

5. Fee Calculation

5.1 Monthly fees are calculated as: (Number of active Connections × applicable price per Connection)

5.2 Where the calculated fee is less than the applicable minimum monthly fee, the minimum monthly fee shall apply.

5.3 All fees are exclusive of VAT unless stated otherwise.

6. Tier Movement & Reviews

6.1 If the Customer’s number of Connections exceeds the upper limit of its current tier, pricing will move to the next applicable tier from the start of the following billing period.

6.2 If the number of Connections falls below the minimum for a tier, BFT may, acting reasonably, review the applicable tier at the next renewal or billing review point.

6.3 Tier reviews are intended to ensure pricing remains fair and aligned to the Customer’s scale and usage.

7. Fair & Reasonable Use

7.2 The Customer must not artificially create, duplicate, or manipulate Connections to avoid applicable pricing tiers.

8. Changes to Pricing

8.1 BFT may update connection pricing and tier thresholds on renewal, providing not less than sixty (60) days’ prior written notice.

8.2 No change shall apply during a current billing term unless expressly agreed.

9. Precedence

In the event of any conflict between this Schedule and the main Agreement, the terms of the Agreement shall prevail.
